Standard Oil consolidated control through the Standard Oil Company of New Jersey, using a “holding company” that could own stock in other companies. Financier J. P. Morgan assembled U.S. Steel by combining Carnegie Steel with other major steel firms, creating the world’s first billion-dollar corporation. The deal reflected a broader “merger movement” in which competing companies combined to reduce competition and stabilize prices. The size of U.S. Steel intensified public and political attention on corporate concentration.
Northern Securities Company was created as a holding company to control major railroads in the northern United States. The arrangement raised fears that a small group of financiers could control vital transportation routes and weaken competition. It soon became a major test of how aggressively the federal government would use the Sherman Act.
In Northern Securities Co. v. United States, the Supreme Court ruled that the railroad holding company violated the Sherman Act and had to be dissolved. The decision signaled a stronger federal willingness to challenge large combinations, especially those affecting interstate commerce like railroads. It is often linked to the era of more active “trust-busting.”
The Hepburn Act strengthened the ICC by giving it greater power over railroad rates and extending oversight to areas like pipelines and related transport services. The law reflected a Progressive Era belief that large networks essential to the economy needed closer supervision. It broadened the federal government’s practical tools for regulating big business beyond antitrust lawsuits alone.
In Standard Oil Co. of New Jersey v. United States, the Supreme Court found that Standard Oil violated the Sherman Act and ordered it to be broken into separate companies. The decision also helped popularize the “rule of reason” approach, meaning courts would evaluate whether a restraint of trade was unreasonable. The breakup became a defining example of federal antitrust enforcement against a dominant trust.
Congress created the Federal Trade Commission (FTC) to curb unfair methods of competition and to provide ongoing oversight, not just case-by-case lawsuits. The FTC added an expert agency approach to competition policy, aimed at monitoring business practices more continuously. This institutional change reflected lessons from earlier difficulties enforcing antitrust through courts alone.
The Clayton Act expanded antitrust law by targeting specific practices such as certain exclusive dealing, mergers that could reduce competition, and interlocking directorates (when the same people sit on competing companies’ boards). It also aimed to clarify how antitrust should apply in labor contexts. Together with the FTC, it marked the close of a key phase (1870–1914) in building the U.S. antitrust system to respond to industrial consolidation.
