Following the Maloney Act’s 1938 amendments, the National Association of Securities Dealers (NASD) registered in 1939 as a self-regulatory organization for broker-dealers, especially in over-the-counter markets. Penn Central filed for bankruptcy on June 21, 1970, sending shock waves through short-term credit markets and prompting Federal Reserve actions to limit broader disruption. The episode highlighted how quickly investor confidence can vanish and how corporate debt markets can transmit stress across the financial system.
ERISA, effective September 2, 1974, set minimum standards for private pension plans and fiduciary conduct. As pension assets grew under this framework, pension funds became even more important institutional investors in corporate bonds.
