After 1978, China began shifting away from tight central planning. A major early goal was to give state-owned enterprises (SOEs) more decision-making power while still keeping state ownership. These early steps set the stage for later, more disruptive reforms like corporatization and privatization.
On October 20, 1984, the CCP adopted the “Decision on Reform of the Economic System.” It treated market tools as compatible with socialism and argued for separating ownership from day-to-day management. This political signal helped justify wider enterprise reforms, including SOE contracting and later corporate restructuring.
On December 2, 1986, China adopted its first national enterprise bankruptcy law on a trial basis. Even though the system remained heavily managed by the state, the law introduced the idea that failing SOEs could be closed rather than permanently supported. This increased pressure for efficiency and foreshadowed the large closures and mergers of the late 1990s.
In 1988, a national law clarified that industrial SOEs could act as legal persons and take responsibility for profits and losses. It also described separating ownership and management, allowing tools like contracting and leasing under government decisions. This provided a legal base for SOEs to operate more like businesses, not just administrative units.
On March 29, 1993, China amended its Constitution to incorporate the concept of a “socialist market economy.” This strengthened the political legitimacy of market-oriented restructuring, including changes to how the state owned, governed, and financed SOEs. It also supported later laws that formalized company structures and investor roles.
In 1994, China implemented a tax-sharing reform that reshaped how revenue was divided between central and local governments. This mattered for SOEs because it changed incentives: local governments increasingly sought revenue and growth, while the center gained stronger fiscal tools to manage national restructuring. It also affected how local officials approached SOE sales, mergers, and closures.
On December 29, 1993, China passed the Company Law, which took effect on July 1, 1994. It established key corporate forms such as limited liability companies and joint stock companies, making corporatization (turning an SOE into a company) easier. This helped large SOEs reorganize, raise capital, and clarify governance, even when the state remained the controlling owner.
China’s Labor Law took effect on January 1, 1995, setting nationwide rules for employment and labor protections. As SOE restructuring accelerated later in the 1990s, layoffs and “xiagang” (laid-off status) became widespread, making labor rules and enforcement more important. The law became part of the basic framework for handling the social impact of enterprise reform.
From September 12–18, 1997, the CCP held its 15th National Congress. This period is widely associated with a sharper push to restructure the state sector—especially keeping state control over large, strategic firms while reducing direct state ownership of many smaller ones. The congress set the political stage for a wave of mergers, bankruptcies, and privatizations in the next few years.
In 1998, top leaders pushed a “three-year” program to pull large and medium SOEs out of financial difficulty through restructuring and management reforms. A central part was dealing with surplus workers through reassignment and reemployment, reflecting the social cost of reform. This marked a shift from gradual autonomy reforms toward faster restructuring and hard budget pressure.
On September 22, 1999, the CCP Central Committee adopted a major decision on SOE reform and development. It laid out objectives such as strategic restructuring, building a “modern enterprise system,” reducing SOE social burdens, and improving reemployment and social security arrangements. This decision consolidated late-1990s reforms into a clearer national program.
By early 2000, official reports described improved performance among SOEs and state-holding industrial enterprises compared with earlier years. These assessments linked better results to intensive policy measures during the “three-year” effort. Whether or not all problems were solved, the reporting showed the government’s intent to demonstrate progress and justify continuing restructuring.
On March 10, 2003, China formed the State-owned Assets Supervision and Administration Commission (SASAC). SASAC was designed to act more like an owner on behalf of the state—exercising shareholder-type responsibilities—rather than having ministries directly run enterprises. This institutional change aimed to improve governance of large central SOEs and standardize asset supervision.
By 2004, official summaries described a new framework for supervising state assets, built around SASAC and related rules. The focus shifted toward monitoring performance, clarifying property rights, and managing reorganizations while preventing loss of state assets. In practice, this helped define the post-privatization landscape: fewer SOEs overall, but stronger state control over the largest firms through a more centralized ownership system.
By 2005, the most intense period of small-SOE privatizations and closures (especially from the late 1990s to early 2000s) had largely passed, while governance reforms for central SOEs continued. The result was a clearer “end state” for this era: a smaller number of state firms, more corporatized structures, and a stronger owner-supervisor model for major enterprises. This outcome became a key institutional legacy of China’s 1980–2005 SOE reform period.
