In the last months of the Soviet Union, Russia (then the RSFSR) adopted a law to privatize state and municipal enterprises. This created a legal path to convert many Soviet-era production units into new ownership forms, setting the stage for large-scale restructuring after 1991.
Russia liberalized most prices, ending many administered prices from the planned economy. The shift exposed enterprises to market signals (scarcity, costs, and consumer demand) and made many Soviet-era business models financially unsustainable without reform or state support.
The government began distributing “privatization checks” (vouchers) to citizens, each with a nominal value, to be used in privatization auctions or investment funds. This was designed to speed up mass privatization when few Russians had cash savings to buy shares directly.
A presidential decree reorganized the former Soviet gas concern into Russian Joint Stock Company Gazprom. The step illustrated a common approach of the 1990s: converting major sectoral ministries and concerns into corporatized firms while the state retained significant influence.
Interregional voucher auctions allowed citizens to use vouchers to buy shares in enterprises outside their home region. This helped create an early national market for ownership stakes, even as information gaps and weak financial institutions limited transparency for many participants.
Voters approved a new constitution after the 1993 political crisis, and it entered into force later that month. The constitution provided a foundational legal environment for a mixed economy, including private property and state property, supporting further enterprise restructuring and privatization.
Facing fiscal pressure, the government used a “loans-for-shares” approach: banks lent money to the state and received temporary control over shares in major companies, later often converted into ownership. The auctions in late 1995 became a turning point, concentrating control of key assets and reshaping the boundary between state and private power.
Russia adopted a key law regulating joint-stock companies, the main corporate form used for many privatized enterprises. Clearer rules for shares, shareholder rights, and company management helped formalize the post-Soviet shift from state administrative control to corporate ownership structures.
A new federal law set the baseline rules for privatizing state and municipal property in the post-1990s environment. It helped standardize processes after the earlier voucher phase and ad hoc deals, aiming for clearer procedures for selling or transferring state assets.
Russia codified the rules for state and municipal unitary enterprises—commercial organizations that operate with state or municipal property but do not own it. This clarified one major “SOE” pathway in Russia: some enterprises were corporatized into joint-stock companies, while others remained unitary enterprises under tighter owner control.
Railway operations were reorganized into Russian Railways (RZD), a joint-stock company fully owned by the federal government. This marked a shift from direct ministry operation to a corporatized SOE model intended to separate commercial management from regulation while keeping strategic control in state hands.
Russia established the Rostec state corporation by federal law, launching a major consolidation vehicle for industrial and defense-related enterprises. The move signaled a late-2000s pivot toward rebuilding state-centered holding structures, bringing many troubled or fragmented assets under a single state-owned management framework.
