Queen Elizabeth I granted a royal charter creating the “Governor and Company of Merchants of London trading into the East Indies.” The charter gave the company a monopoly on English trade in a vast region east of the Cape of Good Hope. This corporate start set up a new model: private investors using a chartered company to pursue overseas trade backed by state authority.
The company’s first major expedition sailed under Sir James Lancaster, aiming to break into the Asian spice trade dominated by other European powers. Early voyages established trading posts (“factories,” meaning trading stations) in Southeast Asia and proved that the company could operate at long distances. The profits and experience from these voyages helped the company survive and expand.
Company ships under Captain Thomas Best defeated Portuguese forces off Suvali (Swally) near Surat. The victory helped the English company gain credibility with Mughal officials and weakened Portuguese efforts to block English trade. It was an early example of how armed force could protect commerce and open political doors.
The company established a key factory at Surat, a major Mughal port city and trading hub. This gave the company a stable base for buying Indian goods and managing shipping and finance. Over time, these coastal trading stations became stepping-stones toward deeper political involvement.
The company built Fort St. George on the Coromandel Coast, which became the center of what grew into Madras (now Chennai). Fortified settlements reduced risks from rivals and local conflict, making trade more secure. This also signaled a shift: the company began to hold territory and govern communities around its forts.
King Charles II transferred the port and island of Bombay to the company for a small annual rent, giving it a major base on India’s west coast. Bombay’s harbor offered strategic protection and commercial potential. The transfer strengthened the company’s ability to operate as a territorial power, not just a trader.
Company agent Job Charnock moved operations to Sutanati on the Hooghly River, an area that later became part of Calcutta (now Kolkata). The site’s river access helped the company expand trade in Bengal. Bengal’s growing importance would later make it the center of company rule in India.
Company forces under Robert Clive defeated the Nawab of Bengal at Plassey, with key local allies switching sides. The victory made Bengal effectively dependent on the company and opened the way for political control supported by military power. This battle is widely treated as a turning point from trade to territorial rule.
After earlier wars, the Mughal emperor granted the company Diwani rights—authority to collect land revenue—in Bengal, Bihar, and Orissa. Revenue collection gave the company a large and steady income, which helped pay for armies and administration. This intensified the company’s role as a governing power with fiscal control.
Parliament passed the Regulating Act to address company misgovernment and financial crisis. It created a governor-general in Bengal with authority over other presidencies and established a Supreme Court at Calcutta. This marked the start of formal British government intervention in company governance.
Parliament passed Pitt’s India Act to tighten oversight after problems with earlier reforms. It set up a Board of Control, giving the British government stronger supervision over the company’s political actions in India. The result was a dual system: the company managed commerce and administration, but the state gained the final say on major policy.
Parliament renewed the company’s charter but reduced its exclusive trading privileges. The act opened Indian trade to other British merchants (while keeping some key exceptions), weakening the company’s commercial monopoly. This was a step toward turning the company into a governing body more than a trading corporation.
The Charter Act of 1833 ended the company’s commercial role and confirmed its transformation into an administrative agency of British rule in India. It also restructured governance by creating the office of Governor-General of India. The change reflected a new reality: profits from trade were no longer the main driver—state-like administration was.
Indian soldiers (sepoys) in company service revolted at Meerut and the uprising spread to major centers including Delhi and Lucknow. Causes included military grievances and deeper political and social tensions under company rule. The rebellion shook confidence in the company’s ability to govern and accelerated plans for direct crown control.
Parliament passed the Government of India Act, formally transferring the company’s governing powers to the British Crown. A new Secretary of State for India and the India Office in London took over oversight. This ended the company’s role as a territorial ruler and launched the era commonly known as the British Raj.
The 1858 settlement took practical effect when crown administration formally commenced, completing the transition away from corporate rule. Company-controlled forces and institutions were reorganized under the state, and the governor-general’s position evolved into the crown’s chief representative (often called the viceroy). The company’s long experiment in governing through a chartered corporation was decisively closed.
